reAlpha Tech Corp. announced on Friday that it has completed its acquisition of InstaMortgage Inc. for approximately $8.5 million, a transaction initially announced in December 2025 and closed on August 19. This move integrates mortgage lending capabilities directly into reAlpha's operations as the company aims to build a comprehensive end-to-end homebuying platform.
The acquisition allows reAlpha to originate, underwrite, and fund mortgages in-house across 38 states and Washington, D.C., while also continuing to offer mortgage brokerage services. The total consideration includes $500,000 in cash, $1.5 million in reAlpha common stock issued at closing, and up to $6.5 million in deferred consideration payable over three years, with at least $1.5 million of that deferred amount required to be paid in cash.
reAlpha CEO Mike Logozzo stated that the company believes homebuying improves when brokerage, lending, and title services operate as a unified system. InstaMortgage, founded in 2008, covers the entire mortgage lending lifecycle, from origination to loan sales. InstaMortgage CEO Shashank Shekhar highlighted that their decade-old lending infrastructure now becomes part of a platform designed to simplify the homebuying journey.
Both companies waived a closing condition related to two outstanding state regulatory approvals, having secured other necessary approvals. This waiver permits reAlpha to begin integrating InstaMortgage while the remaining applications are processed. These two states represented a small portion of InstaMortgage's loan origination volume in the preceding six months and full year of 2025. InstaMortgage may suspend operations in these states during the pending approval process. Logozzo added that the transaction provides reAlpha with additional scale, capabilities, and economics that align with its platform development.
