Empyrean Technology, China's largest supplier of electronic design automation (EDA) software, said in a Shenzhen Stock Exchange filing on November 1, 2026 that it planned to acquire a 50.3762% stake in Easy-Logic Technology for 219 million yuan ($33 million). The board approved the investment on October 30. The seller is Wei Xing, Easy-Logic's controlling shareholder, chairman and general manager. The share transfer agreement had not been signed as of the filing date.
Easy-Logic, founded in January 2021, makes logic-optimization tools for digital chip design, a segment where Empyrean's product line is thin. Its software has been adopted by nearly 100 digital chip designers in China and abroad, and it runs research centers in Shenzhen, Shanghai, Beijing and Hong Kong. Empyrean said the purchase would let it build next-generation AI and 3DIC design tools and add a ready research team.
The target is lossmaking. Easy-Logic reported audited revenue of 32.3 million yuan and a net loss of 19.4 million yuan for 2025, and unaudited revenue of 27.4 million yuan with a net loss of 5.9 million yuan for the first nine months of 2026. Empyrean said the deal could create goodwill subject to impairment and warned of integration risk.
Empyrean reported revenue of 960 million yuan for the first nine months of 2026, up 19.3% from a year earlier, and net profit of 26.9 million yuan. Third-quarter net profit was 72.0 million yuan.
