This move is part of Evernorth's strategy to position itself as a dedicated XRP treasury-focused firm, with plans to trade on the Nasdaq under the ticker symbol "XRPN."
The latest amendment was filed due to a clerical error on the signature page of the original registration statement, which had omitted a signature block for Ripple Labs Inc., the sole member of Pathfinder Digital Assets. The amendment adds this necessary signature and makes related changes, with Evernorth explicitly stating no other transaction terms were altered. The original business combination agreement between the involved entities, including Ripple Labs, was signed on October 19, 2025.
The listing of Evernorth is seen as significant for the digital asset market, offering investors an alternative way to gain exposure to XRP through equity markets.
