AT&T Inc. announced on Tuesday that it will establish a fiber joint venture with Global Infrastructure Partners (GIP), an infrastructure investment fund managed by BlackRock, and Canada Pension Plan Investment Board (CPP Investments). This strategic move aims to accelerate the expansion of AT&T's fiber network into new U.S. communities.
The new venture will integrate Forged Fiber 37, an AT&T unit that acquired fiber assets and operations from Lumen Technologies, with Gigapower, AT&T's existing wholesale fiber venture that already includes GIP. Under the agreement, AT&T will hold a 50% stake in the joint venture, while GIP and CPP Investments will collectively own the other 50%.
This partnership is designed to offer AT&T a capital-light strategy for extending its fiber services beyond its current service areas into major metropolitan regions across 16 states. AT&T anticipates receiving proceeds upon the deal's closure, which it plans to allocate towards reducing its net-debt-to-adjusted EBITDA ratio to approximately 2.5 times within three years, funding business investments, and returning capital to shareholders.
The transaction is slated for completion in the first half of 2027, contingent upon regulatory approvals and the fulfillment of customary closing conditions.
