Justin Ishbia has pledged his economic interests in private equity funds to JPMorgan Chase & Co., while the entity behind the Phoenix Suns has similarly pledged future distributions.
Mat Ishbia utilized tax rebates tied to his UWM holdings to help secure a recent $2.05 billion deal with Oaktree Capital Management. A UWM spokesperson clarified that these financial arrangements do not indicate liquidity issues for Ishbia or the company, emphasizing that Ishbia has personally committed substantial funds alongside Oaktree and that the JPMorgan credit facilities are largely unused and considered immaterial.
Historically, UWM's dividend has been a primary source of liquidity for the Ishbia family. Between 2020 and 2025, their holding company, SFS Corp., received nearly $6.3 billion in distributions. However, this practice is set to cease following Oaktree's investment of $1.5 billion in newly issued preferred shares with a 10% coupon, alongside Ishbia's $150 million capital injection. These preferred obligations will now be serviced by cash previously distributed to common shareholders. Oaktree and Ishbia are also jointly backstopping a $400 million common-stock offering.
