Japanese financial services group Orix is set to acquire U.K.-based aircraft aftermarket components company AerFin for approximately $640 million, aiming to bolster its aircraft leasing business amid rising global travel demand and persistent supply chain issues. The deal, announced on August 3, 2026, by Orix Aviation Systems Limited, marks Orix's entry into the aviation aftermarket sector, which deals with used serviceable material for airframes and engines.
AerFin, founded in 2010, specializes in the acquisition, sale, leasing, and repair of aircraft, engines, and components, serving over 600 customers worldwide. The company's integrated operating model spans acquisition, disassembly, inspection, inventory management, repair, and parts supply, extending the life of aircraft materials and supporting lower-cost supply chains.
Orix, which entered the aircraft leasing business in 1978, currently owns and manages over 230 aircraft through its subsidiary Orix Aviation. The acquisition of AerFin will allow Orix to incorporate AerFin's asset valuation expertise for parts and engines, enhancing its ability to maximize asset value across the entire aircraft lifecycle. Orix also holds a 30% stake in the global aircraft lessor Avolon Holdings Limited.
The move aligns with Orix's long-term vision of expanding its asset management business and its circular economy initiatives. The company highlighted that global air passenger demand increased 5.3% year-on-year in 2025, reaching a record high, while shortages of new aircraft and parts have extended the service lives of existing fleets, increasing demand for used serviceable material.
The transaction is expected to be completed by the end of 2026, subject to regulatory approvals. Reports from Japan suggest an enterprise value of around 100 billion yen ($638 million) for AerFin. Orix Aviation is acquiring AerFin from Danish private equity firm CataCap, which has been its majority shareholder since 2019.
