DoorDash to reincorporate in Nevada from Delaware

The company stated in its filing that it believes Nevada offers a more predictable, statute-based legal environment, which it deems more advantageous for pursuing its corporate strategy compared to Delaware. While Delaware has historically been a favored state for incorporation due to its established business law precedents, DoorDash noted a growing market discussion around Delaware's legal landscape. This includes concerns about "surprising results," an increasingly litigious environment, and high-profile litigation outcomes, particularly in cases involving controlling stockholders.

DoorDash is the latest in a series of prominent companies to shift their incorporation away from Delaware. In recent years, companies like Roblox and Elon Musk's SpaceX have also made similar moves. SpaceX, for instance, reincorporated in Texas after a Delaware judge voided Musk's $55 billion pay package.
