Builders FirstSource announced Monday that it has acquired Innovative Construction Group (ICG) from PulteGroup for an undisclosed sum. ICG, a manufacturer and installer of off-site construction components like wall panels and trusses, operates facilities in Florida and South Carolina.
PulteGroup, the third-largest homebuilder by sales volume, is divesting ICG to free up capital and focus on its core homebuilding competencies, particularly during periods of tight margins and market downturns. The company views off-site construction as beneficial but prefers to utilize third-party providers rather than bear the fixed costs and cyclical risks of ownership.
Builders FirstSource's acquisition aligns with its strategy to expand its value-added manufacturing business and become a leading producer of off-site building components. This move comes as the building materials industry experiences increasing consolidation, with companies like QXO aiming for significant revenue growth and Builders FirstSource itself having completed over 40 acquisitions since 2021.
PulteGroup had initially acquired ICG in 2020 for approximately $104 million. CEO Ryan Marshall stated that while PulteGroup sees value in ICG's capabilities for improving quality and shortening cycle times, especially in labor-short markets, they prefer to be users of these technologies rather than operators.
