Standard Chartered has signed definitive agreements to acquire Zodia Custody's regulated operating entities, a move that is still subject to regulatory approvals and closing conditions. The transaction follows Zodia's shareholders' acceptance of the bank's non-binding offer in May. As part of the deal, Standard Chartered will acquire 100% of Zodia Custody UK Limited, which is the parent company of Zodia's regulated operating entities in Singapore, Hong Kong, Australia, Luxembourg, and the United Arab Emirates. Zodia's crypto custody business will be integrated into Standard Chartered's existing Securities Services operations. Additionally, Zodia's software and professional-services assets will be transferred to Zodia Solutions, an independent entity under SC Ventures, which will provide digital asset infrastructure for financial institutions. Standard Chartered reportedly began considering this integration in April as part of its broader expansion in crypto services, having launched spot Bitcoin and Ether trading for institutional clients in the UAE in September.
