Metaplanet, a Tokyo-listed company that has adopted Bitcoin as its primary treasury reserve asset, plans to acquire a controlling stake in Nasdaq-listed Super League Enterprise for approximately $134.6 million. The acquired company will be renamed Superplanet and will serve as Metaplanet's US Bitcoin treasury platform, marking its first operating presence outside Japan. Metaplanet will contribute 2,100 BTC, valued at around $132.1 million, along with $2.5 million in cash, in exchange for stock, preferred shares, and warrants, securing about 95.7% ownership of Superplanet's common stock upon closing. CEO Simon Gerovich stated the structure allows for capital raising through both Superplanet in the US and Metaplanet in Japan. Super League Enterprise's existing gaming business will continue to operate separately. The deal is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including approval from Super League shareholders.
