This acquisition marks the culmination of a months-long pursuit that evolved from private discussions to a public, and at times hostile, negotiation over valuation and terms.
The final offer represents a significant increase from Dream Finders' initial proposals, including a $1.50 premium over its most recent $32 per share offer and a 30% increase from the $25.75 public offer made in May.
Dream Finders anticipates that the combination will yield substantial synergies, projecting over $100 million in annual run-rate cost savings. These savings are expected to stem from production efficiencies, improved purchasing power, reduced overhead, elimination of duplicate public company expenses, and increased capture rates in mortgage and title services. The company also forecasts that the acquisition will be accretive to earnings per share by a double-digit percentage within the first year.
The transaction is supported by committed financing, including a land banking facility from Kennedy Lewis and Millrose Properties, which will enable Dream Finders to maintain its 100% land-light strategy.
