Securitize Capital, a subsidiary of the tokenization firm Securitize, has registered with the U.S. Securities and Exchange Commission (SEC) as an investment adviser. This new license adds to the company's existing regulated businesses, which include a broker-dealer, alternative trading system (ATS), transfer agent, and fund administration services.
The move comes as regulators are increasingly examining how existing securities rules apply to new investment products built on blockchain technology. SEC Commissioner Hester Peirce recently noted that certain crypto vaults and lending strategies could fall under investment adviser regulations depending on their structure and management.
Vaults, which allow users to deposit crypto into smart contracts for automated capital allocation across lending markets and other yield-generating strategies, have become a rapidly growing product in decentralized finance. Platforms like Coinbase and Robinhood are also offering yield on customer balances through curated vaults, which now hold approximately $8.6 billion in assets, according to Vaults.fyi data.
Securitize stated that the registration provides a broader foundation for working with asset managers and institutional investors interested in onchain investment strategies. The company has already developed infrastructure for tokenized vaults, including permissioned lending vaults with Euler that enable tokenized assets like VanEck's VBILL fund to be used as collateral while adhering to investor eligibility requirements.
